Terms of Service

1. Acceptance
By creating an account or accessing GovernOS (the “Service”) you agree to these Terms. If you accept on behalf of an organisation you confirm you are authorised to do so.
2. The Service
GovernOS is governance software for corporate secretaries and equivalent professionals. It produces drafts, registers, reminders and computed outputs based on the data you provide. It is not legal advice and does not replace qualified counsel.
3. Accounts & security
You are responsible for the credentials of accounts in your tenant and for keeping them confidential. Notify us immediately at security@governos.co of any suspected unauthorised access.
4. Your data
You retain ownership of all data you submit to GovernOS. We process it to provide the Service in accordance with our Privacy Policy. You grant us a limited licence to host, copy and display your data solely to provide the Service.
5. Plans & billing
Plans renew automatically until cancelled. You may cancel anytime; the plan stays active until the end of the current period, then stops auto-renewing. Transaction fees apply per event as published on the pricing page. All prices include applicable taxes.
6. Acceptable use
You agree to use the Service in accordance with the Acceptable Use Policy.
7. Third-party connectors
When you plug in a third-party licence (e.g. DocuSign, Dropbox Sign) you accept that the third party’s own terms govern that integration and that we route data through it on your instruction.
8. Warranties & disclaimers
The Service is provided “as is”. To the maximum extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose. We make no warranty that outputs are legally correct, complete or current.
9. Limitation of liability
To the maximum extent permitted by law our aggregate liability arising out of or related to the Service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental or consequential damages.
10. Termination
Either party may terminate by ceasing use (you) or with 30 days’ notice (us), or immediately for material breach. On termination we will make your data available for export for 30 days.
11. Changes
We may update these Terms; material changes will be notified at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the jurisdiction of our incorporation (specify in your final version). Disputes are subject to the exclusive jurisdiction of its courts.
